Terms of Service
Effective date: October 15, 2026
1. Agreement
These Terms are an agreement between MediaClaw Inc, a Nevada corporation ("MediaClaw"), and the organization that creates or uses a MediaClaw account ("Customer"). They apply to that organization and to each person who uses the account on its behalf ("Users"). By creating an account, accepting an invitation or using the service, you agree to these Terms and confirm that you have authority to bind the Customer. Our Privacy Policy explains how we handle personal data.
2. Eligibility
The service is for business use only. Users must be at least 18.
3. The service
MediaClaw is a PR platform. It provides company research, PR strategy, press release and pitch drafting, media list building with journalist contact enrichment, email outreach, triage of inbound replies, and reporting.
- Many outputs are generated by AI. They can be inaccurate, incomplete or out of date, including contact details.
- Customer is responsible for reviewing every output before approving it. Every pitch goes through a human approval step. Replies are sent automatically only if Customer turns on automatic sending for a company.
- We may change or improve features. If we remove a material feature, we will give reasonable notice.
4. Accounts, seats and roles
- Customer's plan sets the number of seats for owners and editors. Viewer seats are included as the plan allows.
- Account owners control invitations and roles.
- Customer is responsible for all activity under its account: keeping credentials confidential, its Users' compliance with these Terms, and removing access for people who leave. Removing a User also disconnects any mailbox they connected.
- Tell us promptly at info@mediaclaw.io if you suspect unauthorized access.
5. Plans, trials and billing
- Plans (per month): Individual, $999, 1 seat; Teams, $2,999, up to 3 seats, unlimited viewers; Enterprise, $4,999, up to 10 seats, unlimited viewers, additional seats available. Prices exclude taxes.
- Trial: new online subscriptions may include a 7-day free trial. Unless cancelled before it ends, the subscription starts and is charged.
- Renewal: subscriptions renew automatically each billing period until cancelled.
- Payment: online payments are processed by Stripe under its terms. Customer authorizes recurring charges to its payment method.
- Cancellation: cancel at any time. Cancellation stops the next renewal, and access continues until the end of the paid period.
- Refunds: fees are non-refundable, except where the law requires otherwise.
- Taxes: fees exclude taxes, which Customer pays (other than taxes on our income).
- Usage limits: each plan includes a monthly AI usage allowance. When it is reached, some AI features pause until the next period or an upgrade.
- Price changes: we will give at least 30 days' notice, effective at the next renewal.
- Non-payment: we may suspend the service if payment is overdue.
6. Connected mailboxes
If a User connects a Google or Microsoft mailbox:
- The User and Customer authorize MediaClaw to send, from that address, the messages that Users approve and any replies Customer has set to send automatically.
- If a mailbox is attached to a campaign, other Users with approval rights on that campaign may send from it.
- Customer is responsible for all content sent from its addresses, and for complying with its email provider's terms, sending limits and its own organization's policies.
- MediaClaw applies a daily sending limit for each mailbox.
- Access can be removed at any time by disconnecting in MediaClaw or with the provider.
- If a connection stops working, sends from it pause until it is reconnected.
7. Acceptable use
Customer and its Users must not:
- send spam or unsolicited bulk email, or upload purchased, rented or scraped contact lists;
- ignore opt-out requests (opt-outs registered in MediaClaw apply across the service and cannot be overridden);
- break anti-spam and privacy laws, including CAN-SPAM, GDPR, UK GDPR, CASL and state privacy laws;
- impersonate any person or organization, or misrepresent who a message is from or on whose behalf it is sent;
- send content that is unlawful, defamatory, harassing, deceptive or infringing, or that contains material non-public information in breach of securities laws;
- use journalist contact data for any purpose other than legitimate media relations through the service: no exporting it for resale, building a separate database, or contacting people about unrelated matters;
- reverse engineer, scrape or copy the service, or use it to build a competing product;
- get around usage limits, security or access controls, or the approval step;
- upload malware or content they have no right to use.
We may remove content or suspend sending that we reasonably believe breaks this section.
8. Customer content and intellectual property
- Customer owns its inputs (company information, documents, instructions) and, as between the parties, the outputs generated for it.
- Customer grants MediaClaw a worldwide, non-exclusive license to host, process, transmit and display that content only to provide, secure and support the service. We do not use Customer content to train AI models.
- MediaClaw owns the service, its software, its design and the media contact database, apart from Customer content. Customer receives a limited, non-transferable right to use the service during its subscription.
- Feedback may be used freely.
- Outputs may be similar to outputs generated for others, and Customer is responsible for checking that its outputs do not infringe third-party rights before using them.
9. Third-party services
The service relies on third parties: Google, Microsoft, AI model providers, email delivery, search and data providers, payment processing, and wire or distribution services where used. Their services are governed by their own terms. MediaClaw is not responsible for their availability, changes or acts, and features that depend on them may change if they do.
10. Confidentiality and data protection
- Each party will protect the other's non-public information with reasonable care and use it only for this agreement.
- We process personal data in Customer content as Customer's processor, as described in our Privacy Policy.
- A Data Processing Addendum is available on request at info@mediaclaw.io.
11. Suspension and termination
- Customer may stop using the service and cancel at any time.
- We may suspend or terminate for material breach, non-payment, a breach of section 7, or to prevent harm to the service, other customers or third parties. We will give notice where reasonable.
- After termination, Customer may request an export of its content within 30 days. After that, we delete it as described in the Privacy Policy.
- Sections 5 (amounts owed), 8, 10, 12 to 15 survive termination.
12. Disclaimers
The service and all outputs are provided "as is" and "as available". To the extent the law allows, MediaClaw disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy. MediaClaw does not guarantee any media coverage, response rate, deliverability or business result.
13. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
- Each party's total liability under these Terms is limited to the fees Customer paid in the 12 months before the claim.
- These limits do not apply to Customer's payment obligations, to either party's indemnity obligations, or to a breach of section 7.
14. Indemnification
Customer will defend and indemnify MediaClaw against third-party claims arising from Customer content, messages sent from Customer's accounts or mailboxes, or Customer's breach of section 7 or of the law.
MediaClaw will defend and indemnify Customer against third-party claims that the service, as provided by MediaClaw and not including Customer content or outputs, infringes a U.S. intellectual property right.
15. General
- Governing law and venue: Nevada law, without regard to conflict-of-laws rules. Courts in Clark County, Nevada.
- Notices: to MediaClaw at info@mediaclaw.io and the address below. To Customer at the account owner's email.
- Changes to these Terms: we will notify account owners at least 30 days before material changes take effect. Continuing to use the service after that means accepting them.
- Entire agreement: these Terms, the Privacy Policy and any order form or DPA are the entire agreement.
- Severability: if a provision is unenforceable, the rest remains in effect.
- No waiver; assignment: neither party may assign these Terms without consent, except in a merger or sale of substantially all assets.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
